Welcome to Better Market!
These Terms of Service ("Terms") are a legally binding agreement between you and Better Market, operated by United Merchants LTD ("Better Market," "we," "our," or "us"). These Terms govern your access to and use of our platform, services, and associated content (collectively, the "Platform" or "Services").
By accessing or using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms, along with our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.
1. Definitions
- User or Users - any person who registers for or uses the Platform.
- Producer - a User offering food, beverage, or other products.
- Buyer - a User seeking to purchase such products.
- Agent - a User facilitating introductions and potential transactions between Buyers and Producers.
- Transaction - a concluded purchase and/or sale agreement between Users.
All Users can act in one or more roles (e.g., Buyer and Producer), depending on their activity on the Platform.
2. Platform Description
Better Market is a communication-based platform that enables Users to connect, negotiate, and conclude B2B transactions. The Platform allows Users to:
- Discover product offerings;
- Search for partners;
- Negotiate terms;
- Discuss transport/logistics;
- Finalize transactions.
All Users are vetted, and only verified profiles can engage in full communication and view extended company information.
3. Registration and Account
To use the Platform, you must register and provide accurate and complete information. You agree to:
- Maintain the confidentiality of your login credentials;
- Keep your information up to date;
- Be fully responsible for all activity under your account.
Eligibility: You must be of legal age and capacity to enter into binding contracts in your jurisdiction.
4. Pricing and Access
As of May 2025, Better Market services are free of charge. There are no subscription fees or billing for usage. We reserve the right to introduce paid features in the future, in which case new terms will be published and Users notified in advance.
5. User Conduct
By using the Platform, you agree not to:
- Share confidential information without consent;
- Engage in harassment, hate speech, or offensive content;
- Violate any laws or third-party rights;
- Upload malware or interfere with system operations;
- Use bots or automated tools to access the Platform (except standard search engine indexing).
6. Disclaimer of Warranties
Better Market facilitates connections but does not guarantee outcomes. We:
- Make no promise about transaction success;
- Provide services "as is" without warranties;
- Do not guarantee accuracy, availability, or completeness of content;
- Are not liable for third-party content, agreements, or behavior.
Use the Platform at your own risk.
7. Limitation of Liability
To the fullest extent permitted by law:
- Better Market is not liable for indirect, incidental, or consequential damages;
- Our liability for any claim is limited to £0, as no paid services are currently offered;
- We are not responsible for lost data, business interruption, or damages from user interactions.
8. Indemnification
You agree to indemnify and hold Better Market harmless from any claims, losses, or liabilities arising from:
- Your use or misuse of the Platform;
- Your breach of these Terms;
- Your interactions with other Users;
- Violations of laws or third-party rights.
9. Termination
Better Market may terminate or suspend your access at any time, especially if:
- You breach these Terms;
- You act unlawfully or disruptively;
- The service is discontinued.
You may also delete your account at any time.
10. Intellectual Property
All Platform content (excluding user-uploaded content) is owned by Better Market or its licensors. You may not:
- Copy, distribute, or exploit the content without permission;
- Use our logos or trademarks without prior written consent.
11. Attribution
Better Market may identify you as a client or user in marketing materials. You can request limitations or provide branding guidelines for such usage.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of England and Wales. Disputes shall first be resolved amicably. If unresolved after 30 days, disputes will be submitted to the courts of England and Wales.
13. Changes to Terms
We may revise these Terms at any time. Material changes will be communicated via email or on the Platform. Continued use of the Platform after such changes constitutes your acceptance.
